Brand Ambassador Contract

This Brand Ambassador Contract (“Contract”) is made and entered into as of January 1, 2026 (the “Effective Date”), by and between Living Goddess Boudoir and the “Brand Ambassador.”

1. Definitions. For purpose of this Contract, the following terms shall have the meanings set forth below:

“Products” – Includes all albums, digital images, prints, artwork, upgrades, and physical or digital deliverables provided by Living Goddess Boudoir.

“Living Goddess Boudoir VIP Group” – A private Facebook group for females who are 18 years and older, owned and run by Living Goddess Boudoir, where the Brand Ambassador will be posting most Content.

“Payment Semester” - Refers to the first semester of the Contract Term during which the Brand Ambassador completes their paid Luxury Boudoir Experience.

“Promotional Semester” - Means the second semester of the Contract Term during which the Brand Ambassador performs promotional obligations.

“Brand Assets” - Includes all trademarks, service marks, logos, branding, designs, marketing materials, or intellectual property owned, or created, by Living Goddess Boudoir.

“Content” – Means all materials created, captured, or submitted in connection with this Contract, including without limitation photographs, videos, behind-the-scenes footage, social media posts, written captions, reviews, stories, and any other visual materials produced by either Living Goddess Boudoir or the Brand Ambassador during the Term, whether published online, shared privately, or created during the Luxury Experience.

“Luxury Experience” - Refers to the full boudoir session provided by Living Goddess Boudoir, including session time, wardrobe access, professional hair and makeup, pre-session preparation guide, posing and facial expression guidance, and image viewing session.

“Boudoir Bucks” - Refers to the digital credit that the Brand Ambassador receives when a referral inquires and/or books their Luxury Experience. Boudoir Bucks have no cash value and are non-transferable.

“Contract” - Means this Brand Ambassador Contract, including all sections, terms, definitions, and incorporated addendums, as amended from time to time by mutual written agreement of the Parties.

“Term”- Refers to the full duration of this Contract, including the Initial Term and any Renewal Term(s), beginning on the Effective Date, and ending upon expiration or termination in accordance with section 13.

2. Scope of Work. Subject to the terms and conditions of this Contract, Living Goddess Boudoir hereby appoints the individual identified above as a non-exclusive Brand Ambassador. The Brand Ambassador agrees to promote Living Goddess Boudoir through consistent Content creation, including Content featuring Living Goddess Boudoir’s Products, and engagement within Living Goddess Boudoir VIP Group throughout the term of the Contract. The Brand Ambassador’s responsibilities include, but are not limited to, the following:

a. Booking one (1) Full Boudoir Experience in the first semester (“Payment Semester”) of the term of the Contract. This will be a paid, but heavily discounted, experience with a Session Fee of $199, and a payment of $1200 for 10 Digital Images (provided by the normal turnaround time to Brand Ambassador).

b. Posting a minimum of two (2) feed posts per week in Living Goddess Boudoir VIP Group, during the second semester (“Promotional Semester”) of the term of this Contract. The Content must contain interactive material, photographs and/or videos of Products, boudoir images, behind-the-scenes Content, and/or videos from the Brand Ambassador’s personal Luxury Experience with Living Goddess Boudoir, or a personal review of Living Goddess Boudoir.

c. Posting two (2) Instagram Stories per week that must include tags, mentions, or calls to action as directed.

d. Maintaining a social media presence that aligns with the values and brand image of Living Goddess Boudoir.

e. Engaging with comments, other group members’ posts in VIP Group, messages, or inquiries relating to Living Goddess Boudoir Content.

f. Following all guidelines provided by Living Goddess Boudoir regarding tone, messaging, and promotional expectations.

g. Participation in in-person networking, including distributing business cards to generate referrals that may result in additional compensation.

3. Relationship between the Parties. The Brand Ambassador is an independent contractor and not an employee, agent, or partner of Living Goddess Boudoir. Nothing in the Contract shall be construed to create a partnership, joint venture, employer-employee, or agency relationship. The Brand Ambassador is solely responsible for all taxes, insurance, and other obligations arising from any compensation or benefits received under this Contract. The Brand Ambassador has no authority to bind or act on behalf of Living Goddess Boudoir.

4. Compensation. In consideration of the full performance of the Brand Ambassador's services as described herein, Living Goddess Boudoir shall compensate the Brand Ambassador as set forth: Living Goddess Boudoir will provide the Brand Ambassador with Products amounting to $2499, as well as a free Group Session:

• Luxury Closet Bonus - Corsets, Body Jewelry, All the Pearls, Fantasy Closet Items - $199
• 30 Digital Images - Additional images added to those already included - $2000
• Third Product of Choice - 20 Digitals, Ice block, 8x12” metal print, or Three Image Folio - $300

The Brand Ambassador is responsible for paying the Session Fee and the cost of 10 Digital Images ($199 and $1200 as mentioned above). The session fee includes professional hair and makeup, a preparation guide, professional retouching of images, all access to the client wardrobe (two outfits), pre-shoot wardrobe consultation, and a viewing session after. Living Goddess Boudoir will provide the Brand Ambassador with a 20% discount to receive any additional Products the Brand Ambassador may want.

a. Compensation Delivery. Living Goddess Boudoir will deliver the compensation within a scheduled time, as so:

                    I. Luxury Closet Bonus, as sign-on compensation, delivered the day of the Luxury Experience in Payment Semester.

                   II. 30 Digital Images delivered in the 3rd month of the Promotional Semester.

                  III. Third Product of Choice delivered in the 5th month of the Promotional Semester.

b. Compensation for Referrals. Living Goddess Boudoir will provide the Brand Ambassador an additional compensation in the form of Boudoir Bucks, which will function as credit toward a Luxury Experience, for each referral action. These will function as such:

               I. $50 Boudoir Bucks for referral inquiry.

                  II. $150 Boudoir Bucks for referral inquiry that books.

                 III. $100 additional Boudoir Bucks for every $500 referral spends on Luxury Experience.

The Brand Ambassador can use this credit towards a Luxury Experience from the end of the Contract date (December 31, 2026) to the direct year after the Contract has been completed.

The Brand Ambassador understands and acknowledges that this is the sole compensation for the services described in this Contract. They also understand that no additional compensation will be granted. The compensation described may be modified by Living Goddess Boudoir from time to time in its sole discretion, provided that any such modification will be on a go-forward basis from the Effective Date of any such change. Living Goddess Boudoir will provide the Brand Ambassador with a 30-day notice of any such change. The Brand Ambassador understands that all compensation must be earned and is contingent on full Contract performance.

5. Trial Period. The Brand Ambassador will participate in a two-week Trial Period during the Promotional Semester of the term. During this period, the Brand Ambassador must demonstrate consistent, and meaningful promotion of Living Goddess Boudoir as outlined in the Contract. At the end of the Trial Period, Living Goddess Boudoir will evaluate the Ambassador’s performance, engagement, and adherence to the Scope of Work. Living Goddess Boudoir reserves the right to continue, modify, or terminate the Ambassador’s participation based on this evaluation, at its sole discretion.

6. Ongoing Evaluation. Following the Trial Period, the Brand Ambassador will be subject to ongoing performance evaluations for the remainder of the Contract term. Evaluations may occur at any time and may include review of posting consistency, Content quality, brand alignment, engagement efforts, and fulfillment of the Scope of Work. Living Goddess Boudoir reserves the right to address concerns, request adjustments, or terminate the Contract if performance expectations are not met.

If the Brand Ambassador fails to meet performance expectations during any ongoing evaluation period, Living Goddess Boudoir may terminate the Contract immediately. In such an event, any compensation, Products, or services already provided during the term of the Contract will be reclassified as paid Products at full retail value. The Brand Ambassador agrees to reimburse Living Goddess Boudoir for the full value of those Products or services within 30 days of receiving written notice, as the reimbursement amount is tied to the direct retail value of the Products received, not a penalty.

7. Card Authorization. The Brand Ambassador authorizes Living Goddess Boudoir to securely retain their payment card information in a PCI-compliant system, without CVV information, stored for the limited purpose of charging the Brand Ambassador for the retail value of any Products, services, or compensation reclassified as paid items under the terms of this Contract. Living Goddess Boudoir may only process such charges if the Brand Ambassador fails to meet performance expectations and compensation must be reimbursed, as outlined in the Ongoing Evaluation section. The Brand Ambassador will receive written notice and opportunity to cure prior to any charge being processed. All retained payment information will be stored securely and used solely as permitted by this Contract. The Brand Ambassador agrees not to dispute or charge back any authorized charge connected to repayment.

8. Warranties and Obligations. The Brand Ambassador represents and warrants that:

a. They have the full right, power, and authority to enter this Contract.

b. All Content created or submitted under this Contract will be original and will not infringe any third-party rights, including intellectual property, privacy, or publicity rights.

c. They will comply with all guidelines, instructions, and posting requirements outlined in the Scope of Work.

d. They will not engage in conduct that could harm the reputation or image of Living Goddess Boudoir.

9. Prohibition on Artificial Intelligence (AI) Use. The Brand Ambassador agrees that all Content created, posted, or submitted under this Contract must be authentic, original, and created by the Brand Ambassador or Living Goddess Boudoir. To preserve the integrity, accuracy, and brand standards of Living Goddess Boudoir, the following rules apply:

a. No AI Generated Content. The Brand Ambassador shall not use any artificial intelligence programs, applications, or tools including, but not limited to, AI generators used for images, videos, written captions, voiceovers, or reviews - to create, modify, enhance, or simulate Content relating to Living Goddess Boudoir.

b. No AI Editing of Images or Video. AI tools may not be used to edit, retouch, alter, or enhance boudoir images, behind the scenes material, or other Content representing living goddess bourgeois.

c. No AI Generated Reviews or Messages. Reviews, captions, recommendations, responses to comments, or messages related to Living Goddess Boudoir must be written personally by the Brand Ambassador and may not be partially or fully generated by AI.

d. Truthful Representation. The Brand Ambassador agrees not to create or share any Content that uses AI tools to alter their appearance in any way that misrepresents the results, experience, or brand of Living Goddess Boudoir.

e. Grounds for Immediate Termination. Any use of AI in violation of this section shall be considered a material breach of this Contract and grounds for immediate termination at the sole discretion of Living Goddess Boudoir. Upon termination for AI violation, all reimbursement obligations outlined in the Ongoing Evaluation section and Termination section shall apply.

10. Confidential Information.

a. Definition of Confidential Information. The Brand Ambassador acknowledges that during the term of this Contract, they may have access to confidential or proprietary information including, but not limited to:

                     I. Client names, contact information, and private session Content.

                    II. Marketing strategies, social media plans, and promotional campaigns.

                   III. Pricing, compensation, and internal business processes.

                  IV. Any other information not publicly disclosed by Living Goddess Boudoir.

b. Confidentiality Obligations.

                    I. Keep all Confidential Information strictly confidential and not disclose it to any third party without the prior written consent of Living Goddess Boudoir.

                   II. Use Confidential Information solely for the purpose of fulfilling their obligations under this Contract.

                  III. Return or destroy any Confidential Information upon request or upon termination of this Contract.

 This obligation of confidentiality survives the termination or expiration of this Contract.

11. Trademarks, Ownership. All trademarks, service marks, logos, designs, branding, and other intellectual property owned by Living Goddess Boudoir (collectively “Brand Assets”) remain the sole property of Living Goddess Boudoir. The Brand Ambassador may use the Brand Assets solely as necessary to fulfill the Scope of Work outlined in this Contract, and only during the term of this Contract. Any unauthorized use, reproduction, or distribution of Brand Assets is prohibited.

Nothing in this Contract grants the Brand Ambassador any ownership rights, interest, or license to use the Brand Assets outside the scope of this Contract.

12. Model Release. The Brand Ambassador hereby grants Living Goddess Boudoir, its affiliates, licensees, and assigns the irrevocable, worldwide, and royalty free right to use, reproduce, distribute, display, and create derivative works of any photographs, videos, or other Content  taken or produced during the term of this Contract, including, but not limited to promotional posts, advertisements, social media Content, website materials, printed marketing, and portfolio use.

The Brand Ambassador agrees that:

a. All Content created during participation in this Contract is the sole property of Living Goddess Boudoir.

b. Living Goddess Boudoir may crop, edit, retouch, or otherwise alter the Content at its discretion.

c. The Brand Ambassador waives any right to inspect or approve the finished Content or its use.

d. The Brand Ambassador releases Living Goddess Boudoir from any claims, demands, or liability arising out of or in connection with the use of the Content, including but not limited to claims for defamation, invasion of privacy, or emotional distress.

e. The Brand Ambassador grants permission for the Content to be used for commercial purposes, including marketing, advertising, social media promotion, or website display, without additional consent or compensation beyond the terms of this Contract.

 This Model Release shall survive the termination or expiration of this Contract.

13. Waiver of Liability & Damages. The Brand Ambassador acknowledges that participation in photo shoots, promotional events, or any activities related to Living Goddess Boudoir may involve minor physical risks, including but not limited to slips, trips, falls, wardrobe malfunctions, physical discomfort, or emotional discomfort associated with posing or Content creation. By signing this Contract, the Brand Ambassador voluntarily assumes all risk associated with participation in such activities.

 The Brand Ambassador hereby releases and holds harmless Living Goddess Boudoir, its owners, employees, contractors, representatives, and affiliates from any and all liability claims, demands, damages, losses, costs, or expenses arising from injury, accident, or property damage incurred while participating in any activity connected to this Contract.

a. No Liability for Personal Property. Living Goddess Boudoir is not responsible for loss, theft, or damage to the Brand Ambassador’s individual property, including clothing, makeup, accessories, phones, or camera equipment brought to any session or event.

b. No Liability for Emotional or Reputational Impact. The Brand Ambassador acknowledges that participation in boudoir Content creation may involve intimate or sensitive themes. The Brand Ambassador agrees that Living Goddess Boudoir is not responsible for any personal, professional, or reputational consequences that may arise from their voluntary participation, published images, or public association with the brand.

c. Medical Responsibility. The Brand Ambassador is solely responsible for their own physical and mental well-being and agrees not to participate in any activity that may cause physical strain or injury. The Brand Ambassador agrees to disclose any relevant physical limitations prior to participation and acknowledges that Living Goddess Boudoir does not provide medical advice or guarantees.

d. Indemnification. The Brand Ambassador agrees to indemnify and defend, and hold harmless Living Goddess Boudoir, its owners, employees, contractors, representatives, and all affiliates against any claims, damages, liabilities, losses, expenses (including reasonable attorney’s fees) arising out of:

                         I. The Brand Ambassador’s breach of this Contract;

                        II. violation of any warranties made under this Contract;

                       III. the Brand Ambassador’s conduct or negligence during any related activity or;

                       IV. the Brand Ambassador's misuse of Living Goddess Boudoir’s Content, or Brand Assets.

This indemnification obligation survives termination of this Contract.

e. Voluntary Participation. By signing this Contract, the Brand Ambassador confirms that all participation is entirely voluntary and that they understand and accept the risks associated with boudoir photography, posing, modeling, and promotional activities.

14. Term and Termination. This Contract will begin on the Effective Date and will remain in effect for one (1) year (the “Initial Term”), after which the Contract may be renewed for successive one-year terms (each a “Renewal Term”) upon mutual agreement by the Parties. The Initial Term and any Renewal Term(s) shall collectively be referred to as the “Term.” The Brand Ambassador may terminate the Contract at any time within a 30-day written notice. Termination by the Brand Ambassador does not relieve them of repayment obligations. Living Goddess Boudoir may terminate this Contract immediately for failure to meet performance expectations, breach of Contract, misconduct, or any action that negatively impacts or has the potential to harm the brand. Upon termination, all obligations outlined in the Compensation, Trial Period, and Ongoing Evaluation sections will remain in effect, including reimbursement for Products or services classified as paid items.

15. Miscellaneous & Legal.

a. Entire Contract. This Contract represents the full and complete understanding between the Parties regarding the Brand Ambassador Program. It supersedes all prior proposals, discussions, or understandings related to the same subject matter.

b. Amendments. No amendment, modification, or addition to this Contract shall be effective unless made in writing and signed by both Parties.

c. Assignment. Neither Party may assign or transfer its rights or obligations under this Contract without written consent from the other Party, except that Living Goddess Boudoir may assign this Contract to her successor entity in the event of business sale or restructuring.

d. Severability. If any provision in this Contract is found to be invalid or unenforceable, that provision shall be modified only as necessary to render it enforceable and all other provisions shall remain in effect.

e. Notices. All formal notices required under this Contract shall be delivered in writing via email or certified mail using the contact information provided by each Party.

f. No Waiver. Any failure by either Party to enforce any provision of this Contract shall not constitute a waiver of that provision or any other rights.

g. Governing Law. This Contract shall be governed by and interpreted in accordance with the laws of the state in which Living Goddess Boudoir’s business is legally registered, without regard to conflict-of-law principles.

h. Dispute Resolution. Should any dispute arise from this Contract, the Parties agree to first attempt resolution through good-faith communication. If unresolved, the Parties will submit to mediation prior to pursuing litigation.

i. Force Majeure. Neither Party shall be liable for delays or failure to perform caused by events beyond reasonable control, including but not limited to natural disasters, acts of government, power outages, or other unforeseeable circumstances that prevent performance.

j. Confidentiality of Contract Terms. The specific terms of this Contract, including compensation and program structure, shall remain confidential between the Parties unless disclosure is required by law.

k. Non-Disparagement. The Brand Ambassador agrees that during the Term of this Contract and thereafter, they will not make, publish, or communicate any written, verbal, or electronic statement that disparages, defames, or harms the reputation, image, or goodwill of Living Goddess Boudoir, its owners, employees, contractors, representatives, clients, or affiliates. This includes, but is not limited to, statements made on social media, within online groups, through private messages, or during in-person communication. This section does not prohibit the Brand Ambassador from making truthful statements that are required by law, regulation, or legal process. They may not share private dissatisfaction or opinions framed as “truth” if the purpose is reputational harm.

l. Independent Legal Advice. Each Party acknowledges that they have had the opportunity to seek independent legal advice prior to entering this Contract and signed voluntarily.

m. Counterparts & Electronic Signatures. This Contract may be executed in multiple counterparts, including electronically. All counterparts together shall constitute one binding Contract and electronic signatures shall be deemed valid and enforceable.

I am a legally competent adult and have the right to sign this Contract in my own name. I have read this document and fully understand its contents, meanings, and implications. This Contract shall be binding.
